This Billing Policy explains how memberships, subscriptions, renewals, cancellations, payments, and billing-related services work for CounselDebates.

CounselDebates is operated by Immutifi, Inc. (“Company,” “we,” “our,” or “us”).


1. Membership Access

CounselDebates offers free, premium, firm, enterprise, usage-based, and other subscription or seat-based plans that may include different features, usage limits, AI capabilities, collaboration tools, storage limits, retention controls, voice features, or administrative functionality.

Access to paid services begins after successful payment processing.

Certain features may only be available to specific membership tiers or enterprise deployments.

We may modify plan features, usage limits, included functionality, or pricing over time.


2. Payment Methods

We currently process payments through Stripe and other payment methods that may be displayed during checkout.

Supported payment methods may include:

  • credit cards;
  • debit cards;
  • ACH or bank-based payment methods where available;
  • Apple Pay;
  • Google Pay;
  • Link by Stripe;
  • other Stripe-supported payment methods.

Available payment methods may vary by location, account type, or subscription plan.

Payment processors operate under their own terms and privacy policies.


3. Recurring Subscriptions

Certain memberships renew automatically at the end of each billing cycle unless canceled before renewal.

By purchasing a recurring subscription, you authorize the Company and its payment processors to charge your selected payment method for:

  • recurring subscription fees;
  • seat-based charges;
  • usage-based charges where applicable;
  • taxes;
  • applicable processing fees disclosed at checkout.

Billing cycles may be monthly, annual, usage-based, or otherwise specified during purchase.

Enterprise agreements may use separate invoicing or billing arrangements.


4. Firm and Enterprise Billing

Firm and enterprise plans may include:

  • per-seat pricing;
  • additional usage fees;
  • matter-based pricing;
  • overage pricing;
  • custom enterprise billing arrangements;
  • invoiced payment terms;
  • negotiated contracts.

Firm administrators are responsible for managing authorized users and seat allocations associated with their organization account.

Enterprise pricing, invoicing, and billing arrangements may be governed by separate written agreements.


5. Cancellation

Subscriptions may be canceled through the account billing area or other supported account-management workflows.

When canceled:

  • access generally remains active through the end of the current paid billing period;
  • future renewal charges stop after the active billing cycle expires;
  • partial billing periods are generally not prorated unless required by law or otherwise stated.

Deleting an account does not automatically cancel an active subscription unless explicitly stated.


6. Refunds

Unless otherwise required by law, subscription payments are generally non-refundable once processed.

We may review refund requests in limited situations including:

  • duplicate charges;
  • accidental multiple billing events;
  • verified billing errors;
  • substantial technical failure preventing access for an extended period;
  • unauthorized billing activity verified by investigation.

Submitting a refund request does not guarantee approval.

Chargebacks, payment disputes, or abusive refund activity may result in account suspension or termination.

7. Failed or Declined Payments

If payment processing fails, we may:

  • retry the payment method on file;
  • temporarily suspend features;
  • downgrade access levels;
  • restrict debate creation or premium functionality;
  • reduce seat access;
  • suspend organization access until billing issues are resolved.

We are not responsible for fees, penalties, exchange-rate differences, overdraft charges, or costs imposed by financial institutions or payment providers.


8. Price Changes

We may change pricing, features, usage limits, seat allocations, or billing structures over time.

Updated pricing may apply to future billing periods, renewals, or newly purchased plans.

Where required by law, we may provide notice before material pricing changes take effect.


9. Taxes

Prices may not include applicable taxes unless explicitly stated.

Where required, taxes, VAT, GST, or similar charges may be added during checkout based on applicable law and billing location.

Users are responsible for taxes associated with their purchases unless otherwise stated.


10. Account Responsibility

Users and firm administrators are responsible for:

  • maintaining accurate billing information;
  • keeping payment methods current;
  • reviewing billing activity;
  • restricting unauthorized account access;
  • managing authorized seats and users.

You agree to notify us promptly of suspected unauthorized billing activity.


11. Promotional Access and Free Plans

Free plans, trials, promotional credits, beta access, discounts, or limited-use plans may be modified, restricted, suspended, or discontinued at any time.

Free plans may include daily usage limits, feature restrictions, storage limitations, or reduced functionality.

Abuse of free access systems, automated signups, or attempts to bypass usage controls may result in account restrictions or suspension.


12. WOTA Rewards and Promotional Credits

Certain accounts may participate in optional promotional rewards, platform-credit systems, or training-data participation programs associated with WOTA rewards or related ecosystem incentives.

Unless otherwise expressly stated:

  • rewards are promotional in nature;
  • rewards are not deposits or bank accounts;
  • rewards may be modified or discontinued;
  • rewards may not be available in all jurisdictions;
  • redemption options may change over time.

13. Third-Party Payment Services

Payments may be processed through third-party providers including Stripe and related financial-service providers.

We do not store full payment card numbers on Company-controlled systems.

Use of third-party payment providers may be governed by separate terms, privacy policies, and security practices.

We are not responsible for third-party payment processor outages or failures.


14. Billing Disputes

Users agree to contact the Company and attempt good-faith resolution before initiating formal payment disputes or chargebacks where reasonably possible.

Unauthorized or abusive chargebacks may result in suspension or termination of Platform access.


15. Changes to This Billing Policy

We may update this Billing Policy periodically.

Updated versions become effective upon posting unless otherwise stated.

Continued use of paid services after updates are posted constitutes acceptance of the revised policy.
