1. Eligibility

2. Service description

CounselDebates provides an AI-assisted debate and productivity platform intended to support legal workflow analysis, issue spotting, research organization, and drafting support.

CounselDebates is not a law firm, does not provide legal advice, and does not create an attorney-client relationship.

3. No legal advice

All content, outputs, debates, suggestions, and generated responses are provided for general informational and workflow-support purposes only.

You agree that:

  • outputs may be incomplete, incorrect, or outdated
  • you will independently review results before relying on them
  • you will not treat platform output as a substitute for licensed legal counsel
  • final professional, legal, procedural, and filing decisions remain your responsibility

4. User accounts

You may need to create an account to access certain features.

You are responsible for:

  • keeping your login credentials secure
  • all activity under your account
  • providing accurate information
  • notifying us promptly of unauthorized account use

5. Memberships and payments

Some features require a paid membership. By purchasing a membership, you agree to the pricing, billing frequency, and renewal terms presented at checkout.

Recurring subscriptions automatically renew unless canceled before the next billing date.

6. Acceptable use

You agree not to:

  • use the service for unlawful purposes
  • submit content you do not have the right to use
  • upload malicious code or attempt to disrupt the service
  • scrape, reverse engineer, or abuse the platform
  • use the platform to impersonate others
  • rely on the service as a substitute for licensed legal advice
  • use the service in a way that violates privacy, confidentiality, or court rules

7. User content

You retain ownership of the content you submit, subject to the rights necessary for us to operate the service.

By submitting content, you grant us a limited, non-exclusive right to host, process, transmit, and display that content as needed to provide the service.

You represent that you have the necessary rights to any content you submit.

8. Sensitive and confidential material

You are solely responsible for deciding what information you submit. Unless we explicitly state otherwise in writing, you should not submit highly sensitive, privileged, regulated, or confidential material that requires special handling.

9. Availability and changes

We may modify, suspend, or discontinue any part of the service at any time, with or without notice. We do not guarantee uninterrupted availability.

10. Intellectual property

The CounselDebates website, branding, software, design, and related materials are owned by or licensed to us and are protected by applicable intellectual property laws.

You may not copy, distribute, modify, or exploit our materials except as allowed by law or with our written permission.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

We disclaim all warranties including, without limitation:

  • merchantability
  • fitness for a particular purpose
  • non-infringement
  • accuracy, reliability, or availability of outputs

12. Limitation of liability

To the maximum extent permitted by law, CounselDebates and its affiliates, officers, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, business, or goodwill arising from or related to your use of the service.

Our total liability for any claim relating to the service will not exceed the amount you paid us during the 12 months before the claim arose.

13. Indemnification

You agree to defend, indemnify, and hold harmless CounselDebates and its affiliates, officers, employees, contractors, and partners from claims, damages, liabilities, costs, and expenses arising out of:

  • your use of the service
  • your submitted content
  • your violation of these Terms
  • your violation of any law or third-party rights

14. Termination

We may suspend or terminate your access at any time if we believe you violated these Terms, created risk, or misused the service.

You may stop using the service at any time and may cancel subscriptions according to the Billing Policy.

15. Governing law

These Terms are governed by the laws of Wyoming, without regard to conflict of law rules.

Any disputes will be resolved in the courts located in Wyoming, unless applicable law requires otherwise.

16. Changes to these Terms

We may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated.
